Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Sprig Dating LLC, a Washington limited liability company (“Sprig,” “we,” “us”), governing your use of the Sprig website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms, to our Privacy Policy, and to our Community Guidelines, which are part of these Terms. If you do not agree, do not use the Service.

1. Eligibility

To create an account or use the Service, you represent that:

  • you are at least 18 years old;
  • you are legally able to enter into a binding contract;
  • you are not required to register as a sex offender with any government entity;
  • you have not been convicted of, or pleaded no contest to, a felony or indictable offense, a sex crime, or any crime involving violence;
  • you have not previously been banned from the Service; and
  • you will use the Service for personal, non-commercial purposes only.

We use your date of birth to check age and may suspend or close any account we reasonably believe belongs to someone under 18.

2. Your account

You are responsible for your login credentials and for activity on your account. Keep your password confidential and tell us at [email protected] if you think someone else has reached your account. You may hold only one account, the information you give us must be accurate including your date of birth, and your account is for your own use. You may not transfer it or let anyone else use it.

3. What the Service is, and what we do not promise

Sprig is a personality-first dating service. Compatibility is estimated from questions you and other members answer, and member photos begin obscured and become clearer as two people interact. Compatibility percentages, clarity, Daily Picks, and similar features are estimates produced by algorithms and offered for interest only. They are not professional advice, not a prediction of relationship success, and not a representation about any member.

We do not promise matches, introductions, dates, relationships, or any other outcome. Some features may be limited before your city launches, and we may add, change, suspend, or remove features at any time.

4. Safety, and what we do not do

Sprig does not run criminal background checks or identity screening on its members, and makes no representation about the conduct, identity, intentions, legitimacy, or health of any member. You are responsible for your interactions with other members, online and in person.

Please take ordinary care. Do not send money or share financial information with anyone you meet on the Service. Keep your home address, workplace, and daily routine private until you genuinely trust someone. Meet in public for a first date, tell a friend where you will be, and arrange your own transport. Report anyone who pressures, threatens, or attempts to defraud you. There is more guidance in the Safety Center.

You use the Service, and interact with other members, at your own risk. In an emergency, contact 911 or your local emergency service.

5. Community rules

You agree to follow the Community Guidelines, and you will not:

  • misrepresent your identity or age, impersonate anyone, or use photos that are not of you;
  • harass, stalk, threaten, intimidate, defame, or abuse anyone, or post hateful or discriminatory content;
  • post nudity or sexually explicit content, or any content that sexualizes or endangers a minor, which we report to authorities where required;
  • solicit money, financial information, or anything of value from other members, or use the Service to promote goods, services, events, or other platforms;
  • share another person's private or identifying information without their consent;
  • use bots, scrapers, or automated means to reach the Service, or copy, harvest, or index member data;
  • circumvent or manipulate the Service's systems, including rate limits, the clarity system, compatibility scoring, blocks, suspensions, or the reporting system, which includes filing reports you know to be false;
  • upload malicious code or interfere with the Service's operation or security; or
  • use member content or data for any purpose outside the Service, including training machine-learning models.

6. Your content, and the licence you give us

“Your Content” means everything you submit: photos, captions, profile details, question answers including acceptable answers and importance, notes, interests, and messages. You keep ownership of Your Content. You grant Sprig a non-exclusive, worldwide, royalty-free licence, sublicensable to our service providers, to host, store, reproduce, adapt, modify for example by cropping, compressing, or applying the clarity effect, display, and distribute Your Content solely to operate, secure, improve, and promote the Service. We will not use content that identifies you in promotion without asking you first.

You confirm you hold the rights to Your Content and that it does not infringe anyone else's rights or break these Terms. We may remove or refuse content at our discretion, and reported content may be preserved for review as described in our Privacy Policy. This licence ends when your content is deleted from the Service, except for content preserved for safety, legal, or backup purposes as described in our Privacy Policy.

7. Other members' content

Member profiles, answers, notes, and messages are the responsibility of the members who create them. We do not endorse or verify member content. You may not use, copy, or share another member's content or personal information outside the Service, and sharing screenshots of another member's profile or messages in order to harass, embarrass, or endanger them breaks these Terms.

8. Moderation and enforcement

We may investigate any suspected breach of these Terms or the Community Guidelines, including by reviewing content that members report. Reported content is preserved for review, and for message and safety reports this includes a limited window of recent messages from that conversation, as described in the section of our Privacy Policy dealing with messages. We may warn, remove content, suspend, or ban, with or without notice. Multiple credible reports may lead to a temporary suspension pending human review. Filing a report you know to be false is itself a breach. To appeal an enforcement decision, contact [email protected]. We may report content or conduct to law enforcement where we believe it appropriate or required.

9. Referrals and promotions

We may offer a referral programme and may change or end it at any time. What a referral earns is described wherever the programme is presented in the Service, and may include recognition within the Service or entries in a prize drawing we are running at the time.

Any sweepstakes or prize drawing we run is governed by its own Official Rules, which control over these Terms for that promotion, including on how disputes about the promotion are resolved. No purchase is necessary to enter any sweepstakes we run, and sweepstakes are void where prohibited.

10. Fees and future paid features

The Service is currently free. We may introduce paid features or subscriptions later. If we do, pricing, billing, renewal, and cancellation terms will be shown to you before you pay and will supplement these Terms. We will not charge you without your affirmative action.

11. Our intellectual property

The Service, including its software, design, question bank, compatibility and clarity systems, text, and branding, is owned by us or our licensors and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended personal purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as the law permits.

12. Copyright complaints

If you believe content on the Service infringes your copyright, send a notice complying with 17 U.S.C. section 512 to our designated agent at [email protected], including identification of the work and of the infringing material, your contact information, a statement of good-faith belief, a statement of accuracy made under penalty of perjury, and your physical or electronic signature. We may remove allegedly infringing content and close the accounts of repeat infringers.

13. Third-party services

We use third-party providers to operate the Service, including hosting, file and backup storage, and email delivery, and we may change providers. How they handle your information is described in our Privacy Policy. The Service may link to third-party resources such as safety hotlines. We are not responsible for third-party content or services.

14. Ending your account

You may stop using the Service at any time and may delete your account in the Safety Center. We may suspend or close your account as described in Section 8, or discontinue the Service in whole or in part at any time. Sections that by their nature should continue after termination, including Sections 4, 6 through 9, 11, and 15 through 22, continue.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT COMPATIBILITY ESTIMATES ARE ACCURATE, OR THAT ANY MEMBER IS WHO THEY CLAIM TO BE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRIG AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR EMOTIONAL DISTRESS, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING DAMAGES ARISING FROM THE CONDUCT OF OTHER MEMBERS OR OF PEOPLE YOU MEET THROUGH THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS AND THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITS ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN US.

17. Indemnification

You agree to indemnify and hold Sprig harmless from claims, losses, and expenses, including reasonable legal fees, arising out of Your Content, your use of the Service, your interactions with other members, or your breach of these Terms, except to the extent caused by our own misconduct.

18. Disputes, arbitration, and class-action waiver

Please read this section carefully, because it affects your rights. Before bringing a claim, you agree to contact us at [email protected] and try in good faith to resolve the dispute informally for 60 days.

Except for small-claims actions, claims for injunctive relief relating to intellectual property or unauthorized use of the Service, and disputes governed by the Official Rules of a promotion, any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in King County, Washington, or by videoconference, and we will pay filing and arbitrator fees above what a court filing would have cost you. YOU AND SPRIG EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

You may reject this arbitration agreement, without affecting the rest of these Terms, by emailing [email protected] with the subject “Arbitration opt-out” within 30 days of first accepting these Terms. Nothing in this section prevents either of us from reporting a matter to a government agency.

19. Governing law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 18. For disputes not subject to arbitration, you and Sprig consent to the exclusive jurisdiction of the state and federal courts in King County, Washington.

20. Changes to these Terms

We may update these Terms. If a change is material, we will tell you, for example by email or in-app notice, before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and delete your account.

21. Electronic communications

You agree to receive communications from us electronically, including account and transactional emails, and that electronic notices satisfy any legal requirement that a communication be in writing. You can turn off non-essential notification emails using the link in those emails. Account, security, and safety emails are always sent.

22. General

These Terms, together with the Privacy Policy, the Consumer Health Data Privacy Policy, the Community Guidelines, and the Official Rules of any promotion, are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer these Terms. We may transfer them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
